This page summarises the ColPort Hall Terms of Service. The formal Master Services Agreement (MSA) is attached to every order form. This is the readable version so you know what you’re signing before signature day.

The subscription
What you get for your money
Updates + fixes, always
You always run the current version. Security patches ship without downtime. New features surface behind feature flags you can opt into. Breaking changes ship with a minimum 90-day deprecation window and migration guide.
EU-hosted, Processor-class DPA
Signed Data Processing Agreement included. GDPR-compliant sub-processor list (see /privacy). 99.9% uptime SLA on Enterprise, 99.5% on Growth, best-effort on Starter.
Transparent billing
Monthly or annual billing (10% discount on annual). Invoices itemised per product (Mill + Hall + Inn). VAT handled per EU reverse-charge rules. No auto-escalation, renewal price stays flat unless you re-negotiate.
Acceptable use
What you can’t do with Hall
A short, blunt list. Most of it is common sense.
Don’t resell
Hall is licensed to your organisation for your own workforce. You can’t white-label it and resell access to a third party. (Partners + consultancies have a separate programme, see /partners.)
Don’t exfiltrate learner data
You are the Data Controller for your learners. Exfiltrating their data to a third party without their consent violates your own GDPR position, and therefore this agreement.
Don’t game the outcome metrics
Inn rankings and compliance certificates must reflect genuine learning events. Faking completions or assessment scores terminates Inn access and triggers an investigation.
Don’t probe the platform
Security research is welcome, see /trust#responsible-disclosure. Probing without coordination is not. DDoS, spam campaigns, and content designed to break the platform trigger immediate suspension.
Liability + termination
What happens if something goes wrong
Our liability is capped at fees paid in the preceding 12 months. SLA credits apply when uptime dips below target (see your order form). You can terminate for cause if we breach the SLA three consecutive months. We can terminate for cause if you breach the acceptable-use policy and don’t cure within 30 days.
On termination we export your data (xAPI + signed PDFs + structured JSON) within 30 days and delete our copy. No hostage data, no export fees.

Governing law
Jurisdiction + dispute resolution
Dutch law by default
Agreements governed by Dutch law, Amsterdam courts. Enterprise customers can negotiate an alternate governing law (common: their own country or English law for UK buyers) in the MSA.
Mediation before litigation
All disputes start with a 30-day good-faith mediation attempt. If unresolved, proceed to arbitration (NAI, Rotterdam) or the competent court per your governing-law election.
Force majeure
Standard force-majeure clause, war, pandemic, major cloud provider outage, and sanctions-driven access restrictions suspend obligations without breach.
Changes to these terms
Material changes ship with 60 days’ notice. You can terminate without penalty within the 60-day window if you disagree. Non-material changes (typo fixes, new sub-processors) need no notice.
